•  Acting as Thai counsel advising the foreign lenders, in connection with a US$250 million loan to a Thai listed company and its 35 group companies, reviewing the loan agreement and security documents for local acceptability and supplying a legal opinion to the lenders.

•  Acting as Thai counsel advising foreign lenders, in connection with a guarantee to be given by a Thai company to support a loan to an associated Singapore company as borrower, reviewing the loan agreement and guarantee for local acceptability and supplying a legal opinion to the lenders.

•  Acting as Thai counsel advising a foreign bank, in connection with a guarantee to be given by a Thai company to support a trade facility granted to its associated Singapore company, reviewing the facility agreement and guarantee for local acceptability and supplying a legal opinion to the lenders.

•  Acting as Thai counsel advising the foreign lenders, in connection with a pledge of shares in a Thai company to be given by a Singapore borrower to support a loan to its parent Singapore company, reviewing the loan agreement and pledge agreement for local acceptability and supplying a legal opinion to the lenders.

•  Acting as Thai counsel to the Thai subsidiary of a foreign company, and advising the borrower in connection with a US$45 million term loan agreement and security documents, prepared in connection with a refinancing of the group.

•  Acting as Thai counsel to the Thai subsidiary of a foreign company as borrower, and advising in connection with a term loan agreement and security documents prepared in connection with the global refinancing of the group.

•  Acting as Thai counsel to a foreign bank entering into a Technical Assistance Agreement with a state owned Thai bank, and providing a formal opinion.

•  Acting as Thai counsel advising a foreign bank, in connection with a guarantee to be given by a Thai guarantor to support a loan to its Singapore parent company, reviewing the facility agreement and guarantee for local acceptability and supplying a legal opinion to the lender.

•  Acting as Thai counsel advising a foreign bank, in connection with a guarantee to be given by a Thai guarantor to support a loan to its Singapore parent company, reviewing the facility agreement and guarantee for local acceptability and supplying a legal opinion to the lender.

•  Acting as Thai counsel advising a foreign bank, in connection with a share pledge to be given by a Thai subsidiary to support a loan to its Singapore parent company, reviewing the facility agreement and SPA for local acceptability and supplying a legal opinion to the lender.

•  Acting as Thai counsel to the Thai subsidiary of a foreign company, and advising in connection with a term loan agreement and security documents prepared in connection with the global refinancing of the group (loan value US$400 million).

•  Acting as Thai counsel to the Thai subsidiary of a foreign company, and advising in connection with a subsidiary guarantee for an issue of notes to be floated in Singapore in connection with the global refinancing of the group (note value US$150 million).

•  Acting as Thai counsel advising the foreign lenders, in connection with a loan to a Thai listed company, reviewing the loan agreement and security documents for local acceptability and supplying a legal opinion to the lenders (loan value US$390 million).

•  Advising and drafting all documentation to de-register all security interests over the Thailand assets of the five Thailand group companies, prior to the sale of the all group companies.

•  Advising a foreign bank on the setting up of a cash pooling system in Thailand between the bank and all group companies of its customer.

•  Advising a foreign bank on the creation, registration and enforcement of ship mortgages.

•  Advising a foreign bank without a licensed presence in Thailand, on the extent to which it may offer banking and other financial services in Thailand.
