foreign purchasers taking a 49% shareholding in
a Thai group of 12 property companies, conducting
full due diligence and drafting/reviewing the contractual
documentation (transaction value US$50 million)
• Acting for
foreign purchasers taking a 13% shareholding in
the parent public company of the property group
referred to above, drafting/reviewing the contractual
documentation (transaction value US$50 million)
• Acting for
a foreign purchaser acquiring 25 luxury condos subject
to existing tenancies, conducting full due diligence
and drafting/reviewing the contractual documentation
• Advising
a Phuket based property developer, reviewing its
current structure for sale/leasing of property,
and its standard documentation for purchasers
• Acting on
retainer basis for the owner of a major office building
in Bangkok, including advising on all legal issues
relating to lease, services agreements and other
agreements.
Selected hotel transactions
• Acting for
the Thai seller of two internationally branded hotels
in China, including drafting the sale and purchase
agreement and advising on tax issues (transaction
value Baht 2.8 billion).
• Acting for
a Thai company purchasing a 70% interest in a hotel
in the Maldives (70% share - US$30 million)
• Acting for
a Middle East fund developing two four star hotels
and one five star hotel on Koh Samui. Primary role
included advice relating to the structure of the
development project, advice on regulatory compliance
regarding licenses, employment issues and land development
matters
• Acting for
the potential buyer of a hotel in Phuket from a
Thai bank as mortgagee, including advice on all
issues regarding tax, land transfer and dealing
with the bank (transaction value Baht 1.8 billion)
• Acting for
new investors and drafting a Consortium Agreement
for them to join a developer building a 76-unit
serviced apartment building, and advising them in
relation to a draft Management Agreement appointing
a professional manager for the building.
• Advising
a five-star Bangkok hotel, renegotiating its Management
Agreement and re-branding with an international
hotel management group
• Acting for
the buyers of two empty hotels from the Thai bank
mortgagee, and drafting a Shareholders Agreement
for the acquisition and future management of the
hotels (transaction value US$4 million)
• Acting for
a property group taking a 33% interest in a company
that had already acquired a large plot of land in
Pattaya for development as a 200 room hotel, carrying
out due diligence on the land and the existing company,
and drafting a Shareholders’ Agreement to suit the
parties’ requirements.
• Advising
the developers of several five star hotels and resorts
in Bangkok, Cha-am, Phuket and Koh Samui, advice
on the structure of the development project, regulatory
compliance concerning licenses, employment and land
development matters, and since management was to
be contracted out, negotiating a Management Agreement
with a hotel management company.
Conveyancing for individual purchasers
• We can advise
individual foreign purchasers on the freehold or
leasehold structures offered to acquire individual
residential units.
• In particular,
we have acted for purchasers acquiring units in
the developments referred to below in Bangkok or
elsewhere, and are thus familiar with the ownership
structure and terms and conditions of sale in those
projects.
